These Terms of Use ("Terms") govern access to and use of catalyst47.com (the "Website"), operated by Catalyst47 Consulting Group, Inc. ("Catalyst47", "we", "us" or "our"). The Website provides information about our business and a way to make enquiries.
1 Application and acceptance
Please read these Terms before using the Website. Where a Website feature asks you to accept these Terms, selecting the acceptance control forms an agreement with us. These Terms otherwise apply to the extent that you receive legally sufficient notice and validly accept them under applicable law. If you do not agree, do not use a feature that requires acceptance. Statutory intellectual-property and other legal protections apply independently of contractual acceptance.
You must have legal capacity to enter into these Terms when accepting them. If you accept on behalf of an organisation, you confirm that you have authority to bind it. The Website is directed to adults seeking business information.
2 Website operator and separate entities
Our US headquarters is at 447 Broadway, 2nd Floor, Suite 2453, New York, NY 10013, USA. Tarkus AI Labs Private Limited is our separate India sister concern operating the India headquarters and delivery centre at WeWork, Berger Delhi One, 19th Floor, C-01/A, Sector 16B, Noida, Gautam Buddha Nagar, Uttar Pradesh 201301, India.
These Terms are with Catalyst47. References to an India delivery centre or affiliated capabilities do not make Tarkus a party to these Terms, create an agency relationship or make either company automatically responsible for the other’s contractual obligations. The contracting entity for any paid engagement will be identified in the relevant agreement.
3 Website information and service enquiries
Website content is general information. It is not a binding quotation, an offer to supply services or advice tailored to your circumstances. Descriptions of capabilities, illustrative outcomes and past experience do not guarantee particular commercial, technical, financial or recruitment results.
Submitting an enquiry, downloading a brief or arranging a discussion does not itself create a consulting engagement, employment relationship, agency or obligation to deliver services. Scope, fees, deliverables, confidentiality, data processing, warranties and service liability are governed by a separate agreement accepted by authorised representatives. That agreement prevails for its subject matter.
4 Permission to use Website material
You may browse the Website and download or print reasonable extracts for personal use or internal business evaluation, retaining copyright and ownership notices. Except for that permission, a separate licence or rights that applicable law does not permit us to restrict, Website text, graphics, designs, code and other protected material may not be reproduced, republished, sold, distributed or commercially exploited without the relevant rights holder’s written permission.
Catalyst47 or its licensors retain their intellectual-property rights. Third-party names and logos belong to their respective owners. Their appearance may identify a technology ecosystem or experience and does not, by itself, establish endorsement, certification or a formal partnership.
5 Prohibited use
You must not use the Website unlawfully, impersonate another person, submit fraudulent information, infringe another person’s rights, introduce malicious code, interfere with availability, or attempt unauthorised access to systems or non-public information.
You must not bypass access controls, conduct unauthorised security testing, harvest personal information for unsolicited marketing, or use automated tools in a way that materially burdens the Website. Except as permitted by law or written permission, you must not systematically copy protected Website material for resale, competing content services or machine-learning training. Ordinary search-engine indexing consistent with applicable access instructions is permitted.
You may link to publicly available pages fairly and lawfully, without suggesting sponsorship or misrepresenting our relationship. You must not frame the Website or disguise the source of its content without permission. We may request removal of a misleading or infringing link.
6 Information you submit
You are responsible for the accuracy and lawfulness of information you submit and for having authority to share it. You retain ownership of your materials. You authorise us to receive, store, review and use them only as reasonably necessary to handle your enquiry, as described in the Website Privacy Policy, or as separately agreed.
Do not send trade secrets, confidential third-party datasets, passwords, identity documents or other sensitive material through an ordinary enquiry. Unless we have separately agreed, an unsolicited submission does not create a contractual confidentiality obligation. This does not remove duties imposed by privacy or other applicable law, or override an existing confidentiality agreement.
We may decline an enquiry or remove material that is unlawful, harmful or inconsistent with these Terms. A locally generated download is not a confirmed submission to us. Keep a copy of information important to you and use an agreed communication channel for formal notices under a client contract.
7 Privacy cookies and third party services
Our Website Privacy Policy explains how we handle Website and enquiry information. Our Website Cookie Policy explains our use of cookies and similar technologies. Privacy questions may be sent to the Data Privacy Officer at privacy@catalyst47.com. Acceptance of these Terms is not consent to optional marketing or tracking and does not waive statutory privacy rights.
Links and integrations may lead to third-party websites, software or services governed by their own terms and privacy notices. We do not control their content or operation, and a link is not an endorsement. Nothing here excludes responsibility that applicable law places on us for providers acting on our behalf.
8 Availability and information accuracy
We may maintain, update, replace or discontinue Website content or features, and may restrict access where reasonably necessary for security, maintenance or suspected misuse. We do not promise uninterrupted availability, compatibility with every device, or that all content will always be current or free from error.
To the fullest extent permitted by law, the Website and its general content are provided "as is" and "as available", without implied warranties of merchantability, fitness for a particular purpose or non-infringement. Obtain appropriate professional advice before relying on general content for a material decision. These Website provisions do not alter warranties in a separate paid-services agreement or mandatory rights.
9 Limits on liability
To the fullest extent permitted by applicable law, Catalyst47 is not liable for indirect, incidental, special or consequential loss arising from the Website, including lost profits, business opportunities or anticipated savings. For business users, our total aggregate liability arising under or in connection with these Terms or the free Website, whether in contract, tort or otherwise, is limited to US$100. This cap does not govern paid services under a separate agreement.
These exclusions and the cap do not apply to fraud, fraudulent misrepresentation, gross negligence, wilful misconduct, death or personal injury caused by negligence, or any liability or remedy that cannot lawfully be excluded or limited. Consumer protections and mandatory privacy and data-protection rights remain unaffected. Where a restriction is prohibited, liability is limited only to the extent the law permits.
10 Responsibility for third party claims
If you use the Website on behalf of a business, that business will indemnify Catalyst47 against reasonable, documented losses, damages and legal costs arising from a third-party claim to the extent caused by its unlawful use of the Website, deliberate material breach of these Terms, or infringement of third-party rights through materials it supplies. This does not cover loss caused by Catalyst47’s own breach, negligence or misconduct.
We will give prompt notice of the claim and reasonable cooperation. The indemnifying business may control the defence using competent counsel, subject to our right to participate at our own expense. It may not settle a claim by imposing an admission, payment or ongoing obligation on us without our written consent, which will not be unreasonably withheld. This clause does not apply to individuals acting as consumers.
11 Governing law and disputes
Subject to mandatory applicable law, these Terms are governed by the laws of the State of New York, without giving effect to conflict-of-law rules that would select another law. For business users, the state and federal courts located in New York County, New York, have exclusive jurisdiction over disputes arising from these Terms or the Website.
If you are a consumer, this choice does not deprive you of mandatory protections or a right to bring proceedings in a court available under applicable law, including an eligible court where you reside. Nothing prevents a complaint to a regulator or an application for urgent protective relief in a competent court.
12 Changes and general provisions
We may update these Terms prospectively and revise the date above. Material changes will receive appropriate notice, and renewed acceptance where required. Changes do not retroactively alter an accrued claim or a separate client agreement. If a provision is unenforceable, the remainder continues to the extent permitted by law. A failure to enforce a provision is not a waiver. Provisions intended to survive the end of Website use continue to apply where enforceable.
